Mahogany Securities



 

Introduction

Mahogany Capital Limited was incorporated on 5 February 2004 and is an Australian limited liability special purpose public company incorporated under the Corporations Act, which has been established to issue securities such as the Notes to Investors.  Mahogany undertook an issue of Mahogany Notes Series I, in October 2004, which raised $75 million, and Series II, in March 2006, which raised $50 million.  Mahogany has no current other ongoing business but it may issue further securities in the future. 

The shareholding in Mahogany

The sole shareholder of Mahogany is P.T. Limited (ABN 67 004 464 666), a wholly owned subsidiary of Perpetual Trustee Company Limited (ABN 42 000 001 007).  P.T. Limited holds the share capital of Mahogany on trust for certain Australian benevolent institutions.  Perpetual does not guarantee the obligations of Mahogany. Neither are Mahogany's obligations guaranteed by either Lehman Brothers, any member of the Lehman Group or any other person.
